Price, structure and operating assumptions are key variables in M&A.  However, there are no adequate tools to integrate these variables.  As a result, we let buyers and sellers build their own expectations.  This session will introduce a new income method, WBWS (Willing Buyer Willing Seller), to help M&A advisors rationally and objectively manage expectations.  The session will demonstrate Business ValueXpress software, which uses WBWS method.  One will be able to see that a business can have mutiple values even if one does not change cost of capital and growth assumptions, that the balance sheet plays an important role; and, that EBITDA multiple is a proxy for the income method.  The session will also show how to manage transactions with What-If Scenarios and creative deal structures.
